{"id":5334,"date":"2019-04-27T17:02:00","date_gmt":"2019-04-27T09:02:00","guid":{"rendered":"https:\/\/pnl-law.com\/blog\/?p=5334"},"modified":"2020-06-05T23:16:35","modified_gmt":"2020-06-05T15:16:35","slug":"classification-of-shares-in-the-revised-corporation-code","status":"publish","type":"post","link":"https:\/\/pnl-law.com\/blog\/classification-of-shares-in-the-revised-corporation-code\/","title":{"rendered":"Classification of Shares in the Philippines: The Revised Corporation Code"},"content":{"rendered":"\n<p>The classification of <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Shares\">shares<\/a>, their corresponding rights, privileges, or restrictions, and their stated <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Par-Value\">par value<\/a>, if any, must be indicated in the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Articles-Of-Incorporation\">articles of incorporation<\/a>. Each share shall be equal in all respects to every other share, except as otherwise provided in the articles of incorporation <strong>and<\/strong> in the certificate of stock.&nbsp;These are the relevant provisions in the <a href=\"https:\/\/pnl-law.com\/blog\/revised-corporation-code-of-the-philippines-republic-act-no-11232-full-text\/\">Revised Corporation Code<\/a> (Republic Act No. 11232).<\/p>\n\n\n\n<!--more-->\n\n\n\n<div class=\"wp-block-image is-style-rounded\"><figure class=\"aligncenter size-large\"><img loading=\"lazy\" decoding=\"async\" width=\"870\" height=\"650\" src=\"https:\/\/pnl-law.com\/blog\/wp-content\/uploads\/2020\/06\/Classification-of-Shares-under-the-Revised-Corporation-Code.png\" alt=\"Classification of Shares under the Revised Corporation Code\" class=\"wp-image-7964\"\/><\/figure><\/div>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>CLASSES\/SERIES OF SHARES<\/strong><\/h2>\n\n\n\n<p>The <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Shares\">shares<\/a> in <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Stock-Corporations\">stock corporations<\/a> may be divided into classes or series of shares, or both.<\/p>\n\n\n\n<p>A <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Corporations\">corporation<\/a> may further classify its <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Shares\">shares<\/a> for the purpose of ensuring compliance with constitutional or legal requirements.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">NONVOTING SHARES<\/h2>\n\n\n\n<p>Certain shares may be deprived of voting rights, provided that there shall always be a class or series of shares with complete voting rights.&nbsp;Nonvoting shares may nevertheless vote in certain instances. [See <a href=\"https:\/\/pnl-law.com\/blog\/nonvoting-shares-under-the-revised-corporation-code\/\">NonVoting Shares under the Revised Corporation Code<\/a>]<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>PAR VALUE<\/strong><\/h2>\n\n\n\n<p>The shares or series of shares may or may not have a par value. However, the following shall not be permitted to issue no-par value shares of stocks:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>banks<\/li><li>trust<\/li><li>insurance<\/li><li>pre-need companies<\/li><li>public utilities<\/li><li>building and loan associations, and&nbsp;<\/li><li>other corporations authorized to obtain or access funds from the public, whether publicly listed or not<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">NO-PAR VALUE<\/h2>\n\n\n\n<p>No-par value shares must be issued for a consideration of at least Five pesos (P5) per share. The entire consideration received by the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Corporations\">corporation<\/a> for its no-par value shares shall be treated as capital and shall not be available for distribution as dividends.&nbsp;<\/p>\n\n\n\n<p><a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Shares\">Shares<\/a> of <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Capital-Stock\">capital stock<\/a> issued without <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Par-Value\">par value<\/a> shall be deemed fully paid and non-assessable and the holder of such shares shall not be liable to the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Corporations\">corporation<\/a> or to its creditors in respect thereto.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">PREFERRED SHARES<\/h2>\n\n\n\n<p>Preferred shares of stock issued by a corporation may be given preference in the distribution of dividends and in the distribution of corporate assets in case of liquidation, or such other preferences.<\/p>\n\n\n\n<p>Preferred shares must always be issued with a stated <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Preferred-Shares\">par value<\/a>.&nbsp;<\/p>\n\n\n\n<p>The <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Board-Of-Directors\">board of directors<\/a>, where authorized in the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Articles-Of-Incorporation\">articles of incorporation, <\/a>may fix the terms and conditions of preferred shares of stock or any series thereof. Such terms and conditions shall be effective upon filing of a certificate thereof with the Securities and Exchange Commission.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">FOUNDERS&#8217; SHARES<\/h2>\n\n\n\n<p>Founders\u2019 shares may be given certain rights and privileges not enjoyed by the owners of other <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Stocks\">stocks<\/a>. Where the exclusive right to vote and be voted for in the election of directors is granted, it must be for a limited period not to exceed five (5) years from the date of incorporation:&nbsp;Provided,&nbsp;That such exclusive right shall not be allowed if its exercise will violate Commonwealth Act No. 108, otherwise known as the \u201cAnti-Dummy Law\u201d; Republic Act No. 7042, otherwise known as the&nbsp;\u201cForeign Investments Act of 1991\u201d; and other pertinent laws.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">REDEEMABLE SHARES<\/h2>\n\n\n\n<p>Redeemable shares may be issued by the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Corporations\">corporation<\/a> when expressly provided in the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Articles-Of-Incorporation\">articles of incorporation<\/a>. They are <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Shares\">shares<\/a> which may be purchased by the corporation from the holders of such shares upon the expiration of a fixed period, regardless of the existence of unrestricted retained earnings in the books of the corporation, and upon such other terms and conditions stated in the articles of incorporation and the certificate of stock representing the shares, subject to rules and regulations issued by the Securities and Exchange Commission (SEC).&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">TREASURY SHARES<\/h2>\n\n\n\n<p>Treasury shares are <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Shares\">shares<\/a> of stock which have been issued and fully paid for, but subsequently reacquired by the issuing <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Corporations\">corporation<\/a> through purchase, redemption, donation, or some other lawful means. Such shares may again be disposed of for a reasonable price fixed by the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Board-Of-Directors\">board of directors<\/a>.&nbsp;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>The classification of shares, their corresponding rights, privileges, or restrictions, and their stated par value, if any, must be indicated in the articles of incorporation.
