{"id":5387,"date":"2019-04-28T17:37:00","date_gmt":"2019-04-28T09:37:00","guid":{"rendered":"https:\/\/pnl-law.com\/blog\/?p=5387"},"modified":"2020-05-02T00:18:33","modified_gmt":"2020-05-01T16:18:33","slug":"number-qualifications-of-incorporators-under-the-revised-corporation-code","status":"publish","type":"post","link":"https:\/\/pnl-law.com\/blog\/number-qualifications-of-incorporators-under-the-revised-corporation-code\/","title":{"rendered":"Number\/Qualifications of Incorporators under the Revised Corporation Code"},"content":{"rendered":"\n<p>Incorporators are those <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Stockholders\">stockholders<\/a>\/<a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Members\">members<\/a> mentioned in the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Articles-Of-Incorporation\">articles of incorporation<\/a> as originally forming and composing the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Corporations\">corporation<\/a> and who are signatories thereof. The <a href=\"https:\/\/pnl-law.com\/blog\/revised-corporation-code-of-the-philippines-republic-act-no-11232-full-text\/\">Revised Corporation Code<\/a> (Republic Act No. 11232) made significant changes in the number and qualifications of <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Incorporators\">incorporators<\/a>.<\/p>\n\n\n\n<!--more-->\n\n\n\n<p>The requirements under the <a href=\"https:\/\/pnl-law.com\/blog\/revised-corporation-code-of-the-philippines-republic-act-no-11232-full-text\/\">Revised Corporation Code<\/a> are as follows:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>1. The <strong>maximum number<\/strong> of incorporators is fifteen (15). This is the same maximum number provided in the old Corporation Code of the Philippines under Batas Pamansa Blg. 68<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>2. Incorporators who are natural persons must be of legal age.&nbsp;<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>3. There is <strong>no minimum number <\/strong>of <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Incorporators\">incorporators<\/a> required. There has to be at least one (1) incorporator because somebody has to sign and authenticate the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Articles-Of-Incorporation\">articles of incorporation<\/a> (in which case, it is a <a href=\"https:\/\/pnl-law.com\/blog\/one-person-corporations-under-the-revised-corporation-code\/\">One Person Corporation<\/a>). The rule was different under the old Corporation Code, which required at least five (5) incorporators. This minimum number has been removed under the <a href=\"https:\/\/pnl-law.com\/blog\/revised-corporation-code-of-the-philippines-republic-act-no-11232-full-text\/\">Revised Corporation Code<\/a>.\u00a0<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>4. The <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Incorporators\">incorporator<\/a> may either be a <strong>natural or juridical person<\/strong>. The Revised Corporation Code provides that an incorporator may be a natural person, or a partnership, association or corporation. This is a significant change, as the old Corporation Code requires that at least five (5) incorporators must be individual persons. Nevertheless, for the purpose of practicing a profession, no corporation is allowed unless allowed under special laws.\u00a0<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>5. Each incorporator of a <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Stock-Corporations\">stock corporation<\/a> must own or be a subscriber to <strong>at least 1 share<\/strong> of the capital stock.\u00a0<\/li><\/ul>\n\n\n\n<p>The <a href=\"https:\/\/pnl-law.com\/blog\/revised-corporation-code-of-the-philippines-republic-act-no-11232-full-text\/\">Revised Corporation Code<\/a> also removed the old requirement that majority of the incorporators must be residents of the Philippines.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>Incorporators are those stockholders\/members mentioned in the articles of incorporation as originally forming and composing the corporation and who are signatories thereof.
