{"id":5416,"date":"2019-10-29T03:33:00","date_gmt":"2019-10-28T19:33:00","guid":{"rendered":"https:\/\/pnl-law.com\/blog\/?p=5416"},"modified":"2020-06-13T12:59:35","modified_gmt":"2020-06-13T04:59:35","slug":"re-registration-of-name-of-expired-corporations","status":"publish","type":"post","link":"https:\/\/pnl-law.com\/blog\/re-registration-of-name-of-expired-corporations\/","title":{"rendered":"Re-Registration of Name of Expired Corporations"},"content":{"rendered":"\n<p>When a corporation or partnership has been dissolved or whose registration has been revoked (&#8220;Expired Corporation&#8221;), the name of such Expired Corporation may no longer be used by any other entity. As an exception, however, another <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Corporations\">corporation<\/a> may use such name if allowed at the time of the dissolution or revocation by the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Stockholders\">stockholders<\/a>, <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Members\">members<\/a> or <a href=\"#Partners\">partners<\/a> who represent a majority of the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Outstanding-Capital-Stock\">outstanding capital stock<\/a> or membership of of the Expired Corporation.&nbsp;<\/p>\n\n\n\n<!--more-->\n\n\n\n<p>The Securities and Exchange Commission (SEC) will entertain the application for re-registration of the Expired Corporation&#8217;s name by another corporation\/partnership, only if the following documents are submitted:<\/p>\n\n\n\n<p>1. <strong>Board Resolution<\/strong>, executed or signed <strong>under oath<\/strong> by the hold-over <a href=\"https:\/\/pnl-law.com\/blog\/board-of-directors-trustees-under-the-revised-corporation-code\/\">board of directors\/trustees<\/a> of the expired corporation, attesting that:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>i. the applicant for re-registration is a new <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Corporations\">corporation<\/a> intending to use the name of the expired corporation (specially identifying the corporate name and registration number);<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>ii. the re-registration is approved by the majority vote of the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Directors\">directors<\/a> or <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Trustees\">trustees<\/a> and the vote of the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Stockholders\">stockholders<\/a> representing the majority of the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Outstanding-Capital-Stock\">outstanding capital stock<\/a> or membership;<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>iii. they shall include a statement in the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Articles-Of-Incorporation\">articles of incorporation<\/a> of the new corporation that the same is using the name of the expired corporation; and<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>iv. if applicable, they will no longer file a petition to set aside the order of revocation.<\/li><\/ul>\n\n\n\n<p>2. Latest <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#General-Information-Sheet\">General Information Sheet<\/a> (GIS) of the expired corporation, stamped &#8220;received&#8221; by the SEC; and<\/p>\n\n\n\n<p>3. Affidavit, executed under oath by the hold-over secretary, attesting that:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>i. there are no properties owned by the dissolved\/revoked corporation due for <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Liquidation\">liquidation<\/a>, or in case there are properties owned by the expired corporation, no property is transferred to the new corporation or, in case of <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Stock-Corporations\">stock corporations<\/a>, used for subscription payment without undergoing corporate liquidation process;<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>ii.&nbsp; there is no pending <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Intra-Corporate-Disputes\">intra-corporate dispute<\/a> or claim involving the expired corporation; and<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>iii. the expired corporation has no derogatory information with the SEC at the time of the application for re-registration.&nbsp;<\/li><\/ul>\n\n\n\n<p>Upon approval of the re-registration, the certificate of registration to be issued to the new corporation shall indicate its new SEC registration number and pre-generated Tax Identification Number (TIN) as confirmation that the same is a separate and distinct entity from the expired corporation.<\/p>\n\n\n\n<p>These guidelines are contained in <em>SEC Memorandum Circular No. 13<\/em>, series of 2019 dated 21 June 2019.
