{"id":5433,"date":"2019-11-29T05:04:00","date_gmt":"2019-11-28T21:04:00","guid":{"rendered":"https:\/\/pnl-law.com\/blog\/?p=5433"},"modified":"2020-05-02T00:03:30","modified_gmt":"2020-05-01T16:03:30","slug":"preemptive-rights-under-the-revised-corporation-code","status":"publish","type":"post","link":"https:\/\/pnl-law.com\/blog\/preemptive-rights-under-the-revised-corporation-code\/","title":{"rendered":"Preemptive Rights under the Revised Corporation Code"},"content":{"rendered":"\n<p>All <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Stockholders\">stockholders<\/a> of a <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Stock-Corporations\">stock corporation<\/a> shall enjoy preemptive right to subscribe to all issues or disposition of <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Shares\">shares<\/a> of any class, in proportion to their respective shareholdings. This is also called the &#8220;right of first refusal&#8221;.<\/p>\n\n\n\n<!--more-->\n\n\n\n<p>Such preemptive right shall not extend to the following:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>(a) shares issued in compliance with laws requiring stock offerings or minimum stock ownership by the public; or&nbsp;<\/li><\/ul>\n\n\n\n<ul class=\"wp-block-list\"><li>to shares issued in good faith with the approval of the stockholders representing 2\/3 of the <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Outstanding-Capital-Stock\">outstanding capital stock<\/a>, in exchange for property needed for corporate purposes or in payment of a previously contracted debt.\u00a0<\/li><\/ul>\n\n\n\n<p>The <a href=\"https:\/\/pnl-law.com\/blog\/glossary-for-the-revised-corporation-code\/#Articles-Of-Incorporation\">articles of incorporation<\/a>, or an amendment thereto, may remove or deny pre-emptive rights.<\/p>\n\n\n\n<p>[For the preemptive rights for close corporations, see <a href=\"https:\/\/pnl-law.com\/blog\/close-corporations-under-the-revised-corporation-code\/\">Close Corporations in the Philippines: The Revised Corporation Code<\/a>.]<\/p>\n","protected":false},"excerpt":{"rendered":"<p>All stockholders of a stock corporation shall enjoy preemptive right to subscribe to all issues or disposition of shares of any class, in proportion to their respective shareholdings.
